Choppr Terms of Service
Last updated: 28 September 2026
These Terms of Service govern the provision and use of Choppr by restaurants and other business customers. They form part of the agreement between the business subscribing to Choppr (you or the Customer) and I-GALAXY MEDIA LIMITED, trading as Choppr (we, us or our).
I-GALAXY MEDIA LIMITED is registered in England and Wales under company number 05881572. Our registered office is 4th Floor Hamilton House, Mabledon Place, London, England, WC1H 9BB. You can contact us at [email protected].
1. Your agreement with Choppr
Choppr is supplied for business use. The person accepting these Terms on behalf of a business must have authority to enter into the agreement for that business.
Your agreement comprises these Terms, the plan and pricing accepted when you subscribe, any separately agreed order form or service-specific terms, and Schedule 1 (Data Processing), including the processing information supplied under that Schedule. An expressly agreed order form takes precedence over these Terms where it specifically varies them. Schedule 1 takes precedence in relation to the processing of personal data on your behalf, unless a separately signed data processing agreement expressly replaces it.
The agreement begins when we accept your subscription or order. Any minimum commitment, different billing arrangement or additional service conditions must be disclosed and agreed before purchase.
These Terms govern our relationship with the business using Choppr. They do not replace the restaurant's own terms with its customers for meals, deliveries, reservations or other restaurant services.
2. Our service
Choppr provides restaurant management software. Depending on your plan and the features enabled, it may include online ordering, menus, reservations, loyalty, point-of-sale tools, kitchen displays, communications, payment integrations and telephone-number services.
We will provide the service with reasonable care and skill. Your plan determines which features, branches and usage allowances are included. Features described as planned or under development are not included commitments unless expressly agreed in writing.
We may update the service to improve its functionality, maintain security, address defects or meet legal requirements. We will give reasonable advance notice of material reductions to paid functionality where practicable. Urgent security or legal changes may take effect sooner. Changes do not remove remedies available to you for our breach of the agreement.
You are responsible for suitable devices, internet connectivity and any equipment or integrations required to use your selected features. Any stated offline functionality is limited to the functions described for that feature.
3. Accounts and authorised users
You must provide accurate business and billing information and keep it up to date. You are responsible for the users you authorise, their permissions and their use of your account.
You must protect account credentials, use available security controls appropriately, remove access when it is no longer needed, and promptly notify us of suspected unauthorised access or a security incident affecting the service.
We may verify the authority of someone requesting account changes, data exports, access or cancellation.
4. Subscriptions and payment
Unless a different arrangement is expressly agreed before purchase, subscriptions are billed monthly in advance and renew automatically for successive monthly billing periods until cancelled.
Your subscription fees, included features, usage allowances and any setup charges are shown or agreed before purchase. VAT or other applicable taxes will be identified in the pricing or order information. Where prices are stated exclusive of VAT, VAT will be added where applicable.
You authorise us and our payment provider to collect the recurring fees and any other charges you have agreed to pay using your chosen payment method. You must maintain a valid payment method or comply with any separately agreed invoice-payment arrangement.
Charges for SMS, telephone numbers, calls, payment processing and other usage-based services may be additional to your subscription. Applicable rates and charging units will be displayed or agreed before the relevant purchase or use. An included allowance does not cover usage beyond its stated limit.
Cancelling a subscription does not remove charges properly incurred before the cancellation takes effect.
Setup, migration, design, configuration and other separately commissioned work are charged as agreed in the relevant quotation. If you cancel that work after we have begun, you must pay for work properly completed and reasonable, unavoidable third-party commitments made with your authority, up to the agreed project price. We will credit amounts already paid and take reasonable steps to avoid unnecessary cancellation costs. This does not restrict remedies for our breach.
5. Cancellation and refunds
You may request cancellation through the Choppr admin area or by emailing [email protected].
For monthly subscriptions without a minimum commitment, a request received before the next renewal takes effect at the end of the current paid billing period. Your access continues until that period ends. We use the date we receive your request to determine its timing, even if we process it later.
Where you have separately agreed a minimum commitment, cancellation takes effect at the end of that commitment or another date permitted by the agreed terms. This does not affect any right to terminate because of our breach.
We do not provide a pro-rata refund when you voluntarily cancel partway through a paid billing period. This does not exclude refunds or other remedies for billing errors, where required by law, where available for our breach, or where we expressly agree a refund.
6. Subscription price changes
We will give at least 30 days' written notice of an increase to your subscription price. The increase will take effect at a renewal occurring after that notice period, and we will honour any separately agreed fixed-price commitment.
You may cancel before the new price takes effect. If an increase would otherwise take effect during a minimum commitment, you may end the affected subscription before the increase without an early termination charge, unless you expressly agree to the increase.
This section concerns subscription prices. Rates for separately purchased or usage-based services are identified under section 4; a fixed rate expressly agreed for a specified period will be honoured.
7. Failed or overdue payments
If a subscription payment fails, we will notify you and allow at least 7 days from that notice to resolve the payment before we may suspend the affected subscription. We will warn you before suspension takes effect. Our payment provider may retry collection of the amount due.
You should contact us promptly if you believe a charge is incorrect. We will investigate a genuine billing dispute and seek to resolve it with you.
Suspension for nonpayment does not cancel the agreement or remove amounts properly due. We will restore the affected service promptly after the payment issue is resolved, unless there is another valid reason for suspension. If nonpayment continues, we may terminate the affected subscription on written notice after the payment-resolution period has expired.
This payment process does not prevent urgent suspension for the security, abuse or legal reasons described in section 12.
8. Prepaid credits
Some services use prepaid credits. The purchase price, applicable usage rates and any conditions will be shown before you buy or enable the relevant service.
Purchased credits do not expire while your account remains active. Cancelling one module does not, by itself, close an otherwise active account or forfeit its purchased credits.
Unused purchased credits are non-refundable on voluntary account closure, except for billing errors, where required by law or where we expressly agree otherwise. This restriction does not exclude remedies arising from our breach or from our withdrawal of a service for which credits were purchased.
Automatic top-ups operate only where you enable or authorise them, using the settings disclosed to you. You can disable future automatic top-ups through the available billing controls or by contacting us. Disabling them does not reverse a purchase already properly initiated under your authorisation.
Any expiry or restrictions applying to promotional credits will be disclosed when those credits are offered.
9. Restaurant operations and customer transactions
You remain responsible for the restaurant's business and its dealings with customers, including menu content, prices, taxes, availability, allergy and dietary information, food safety, order acceptance and fulfilment, deliveries, bookings, cancellations, refunds and complaints.
You must keep information supplied through Choppr accurate and ensure that your staff handle customer requests appropriately. Where a customer's request is ambiguous or involves an allergy or other safety concern, it must be checked by a suitably informed person.
Unless expressly agreed otherwise, the restaurant is the supplier of the meals and restaurant services. Choppr provides the technology and does not become the seller merely because an order, booking or payment passes through the platform.
You must hold the licences, permissions and business insurance appropriate to your operations, including applicable food, alcohol, delivery and public-liability requirements. You must promptly tell us about complaints or claims that concern the platform or may expose Choppr to liability, and cooperate reasonably in investigating them.
10. Payments and integrations
Payment services may be provided by Stripe or another identified provider. You may need to enter into a separate agreement with that provider and complete its verification requirements. The restaurant remains responsible for its payment-provider account, refunds, disputes and chargebacks as allocated under those arrangements.
Third-party services may have separate terms, charges and availability requirements. We will identify terms you must accept to enable a feature. You must authorise integrations lawfully and ensure that any data you send through them is appropriate.
We do not guarantee that a payment, message or call will be accepted or delivered by a third party. This does not remove our responsibility to provide our own service with reasonable care and skill.
Where your transactions or instructions cause a payment provider to charge Choppr a refund, chargeback or dispute fee that is your responsibility under the agreed payment arrangements, you must reimburse the amount reasonably evidenced to you. This excludes amounts caused by our breach, negligence or unauthorised action. We may collect sums properly due through your authorised billing method, with notice of the amount and reason. This provision does not itself authorise us to hold restaurant sales proceeds or debit a connected payment account.
11. Messaging and marketing
You are responsible for the purpose, content, recipients and timing of communications sent on your behalf. You must comply with applicable data protection and electronic marketing laws and any provider rules made available for the service.
Marketing may be sent only where the recipient is eligible for the relevant restaurant and communication channel. Eligibility must be supported by valid consent or by satisfaction of every applicable condition of the existing-customer soft opt-in. An order, reservation, imported contact or supplied telephone number alone does not establish marketing permission.
Where you rely on consent, you must provide a clear, optional choice that identifies the restaurant and the relevant type of marketing, and keep evidence of what the person agreed to and when. Where you rely on the soft opt-in, you must have obtained the details directly during a sale or sales negotiation, market only your own similar products or services, and offer a clear opt-out both when collecting the details and in every subsequent marketing communication.
You must verify eligibility before importing or using a marketing list. You must not treat bought-in contacts as eligible under the soft opt-in. You must honour withdrawals and objections promptly and provide accurate preference and suppression information to Choppr.
Marketing messages must identify the sender and include an effective, simple opt-out. You must not instruct recipients to reply to a number that cannot receive or process their reply. Opting out must not require an account login.
Transactional communications must relate to the relevant transaction or service. You must not use transactional sending to bypass marketing preferences or disguise promotional messages.
Choppr may block ineligible recipients, apply suppression and sending limits, request supporting records, and suspend communications that breach these requirements. You must not bypass those controls.
12. Acceptable use and suspension
You must not use Choppr to send unlawful or deceptive communications, harass others, distribute malware, infringe intellectual property or privacy rights, access another customer's information, interfere with the service, or circumvent security, payment or usage controls.
We may suspend the affected feature or account where reasonably necessary to address a serious security threat, suspected fraud, unlawful activity, material misuse or a binding legal or provider requirement. Where lawful and practicable, we will explain the reason and give an opportunity to resolve it. Suspension will be proportionate to the issue, and we will restore access when the reason has been resolved.
13. Telephone numbers
Telephone-number services depend on availability, provider requirements and the terms disclosed when the feature is enabled. We will explain applicable number-use and porting arrangements before activation. Any applicable statutory porting rights remain unaffected.
An AI receptionist service is outside the scope of this agreement. These Terms and Schedule 1 do not cover call-audio recording or conversation transcription.
14. Data protection and confidentiality
You are normally the controller of personal data about your restaurant's customers and staff that you ask us to process for restaurant operations. Choppr normally acts as your processor for that activity. Each party must comply with the data protection obligations applying to its role.
You must have a lawful basis for your collection and use of personal data, provide appropriate privacy information, keep information accurate, and give lawful instructions to us. We will process personal data on your behalf under Schedule 1, which forms part of these Terms. Its required processing information must be supplied before the relevant processing begins.
Our Privacy Policy explains processing for which Choppr acts as controller, including our own business-account administration and billing.
Each party must protect the other's confidential information, use it only to perform or exercise rights under the agreement, and disclose it only to people or providers who need it and are subject to appropriate confidentiality obligations, or where required by law. These duties do not apply to information that is lawfully public or independently obtained without a duty of confidence.
15. Security, availability and support
We will maintain appropriate technical and organisational measures to protect information processed through the service. You must maintain suitable security for your devices, staff access and integrations and promptly report suspected incidents.
Support is available through [email protected] and the support facilities in the Choppr admin area. Guaranteed response times, round-the-clock support, uptime percentages or service credits apply only where expressly agreed in a separate service-level agreement or order form.
The service may be interrupted by maintenance, incidents or failures affecting connectivity or providers. We will use reasonable efforts to minimise avoidable disruption and give advance notice of planned material interruptions where practicable. These provisions do not exclude our obligation to use reasonable care and skill.
16. Intellectual property
You retain your rights in the menus, branding and other content you supply. You give us a limited right to host, process, display and transmit it as necessary to provide, support and secure the service in accordance with the agreement.
We and our licensors retain rights in Choppr's software, designs and documentation. During your subscription, you may use the subscribed service through your authorised users for your business. You must not copy, resell or reverse engineer it except where we agree or applicable law permits.
You warrant that you own, or have all permissions necessary for, the content and data you supply and for our use of it to provide the service. Your content must not infringe another person's intellectual property, privacy or other rights. We may remove or restrict content where reasonably necessary to address a credible infringement complaint, notifying you where lawful and practicable.
You must not sublicense access, share the service outside your authorised business users, or use unauthorised scraping or access to reproduce Choppr's software or create a competing copy. This does not restrict activities that applicable law expressly permits.
If you voluntarily provide product suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use and incorporate it without an obligation to pay you. This does not transfer ownership of your restaurant content or permit use of personal data outside our data-protection obligations.
17. Termination and data export
Either party may terminate for a material breach that cannot be remedied or that remains unremedied after written notice and a reasonable opportunity to remedy it. We may terminate where continuing to provide the service would be unlawful. Your ordinary cancellation rights are set out in section 5.
When your service ends, ordinary operational access ends and properly accrued charges remain payable. You may request an export of your restaurant data by contacting [email protected] within 30 days after the service ends, without renewing the subscription. We will verify your authority and arrange a secure export in a commonly usable electronic format.
During that period, retained restaurant data is used only for the agreed exit process and necessary protection of that data. You may instruct us to delete it earlier instead of returning it.
At the end of the 30-day export window, and once any timely requested export has been completed, we will delete the restaurant personal data from our live systems without undue delay. The export process will not be used to justify indefinite retention.
Residual backup copies will expire or be removed within a further 14 days after live-system deletion. Pending removal, deleted data is kept beyond ordinary use. If a backup is restored for recovery, deletion instructions will be reapplied before that data is returned to ordinary use.
We may retain records that we are legally required to keep, and records we independently control for a lawful purpose as explained in our Privacy Policy, including Choppr's own accounting records. This does not authorise retention of your whole customer database.
Cancelling a single module does not trigger deletion of data still needed to provide other continuing Choppr services. Schedule 1 governs your return and deletion instructions and any applicable legal retention requirements.
18. Liability
Nothing in the agreement excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
Subject to that paragraph and to the extent permitted by law, our total aggregate liability to you arising out of or in connection with the agreement, whether in contract, tort (including negligence), misrepresentation, breach of statutory duty or otherwise, will not exceed the lower of:
- £1,000; or
- the total service fees actually paid by you to Choppr under the agreement during the 12 months immediately before the first event giving rise to a claim under the agreement.
This is one aggregate limit for all claims under the agreement across all your branches and users, not a separate limit for each claim, incident, branch or device. The reference date is the first event giving rise to any such claim. Service fees include subscription and service-usage charges actually paid to Choppr but exclude VAT, hardware purchase prices, restaurant sales proceeds and charges paid directly to independent third-party providers. Section 22's express repair, replacement and purchase-price refund remedies apply separately and are not reduced by this damages cap.
Subject to the first paragraph and to the extent permitted by law, we are not liable for loss of profit, revenue, sales, business, contracts, anticipated savings, business opportunity, goodwill or reputation, whether those losses are direct or indirect. We are also not liable for indirect or consequential loss. Each exclusion is intended to operate separately. These provisions do not remove our express obligations concerning data security, return or deletion, or the hardware remedies in section 22; claims for damages remain subject to this section.
Except for the express commitments in the agreement and terms that cannot lawfully be excluded, we exclude implied warranties and conditions to the fullest extent permitted by law. We do not promise uninterrupted or error-free operation, a particular commercial result, or that the service meets a requirement you have not disclosed and we have not expressly agreed to meet. You should maintain reasonable continuity arrangements appropriate to your restaurant's operations.
The limits in this section govern claims between the parties only. They do not restrict rights of individuals or powers of regulators under applicable law. They do not remove your obligation to pay valid charges or our obligation to return money that was incorrectly charged or that is otherwise repayable under the agreement.
Claims arising from your operations or breaches
You will indemnify Choppr against damages and reasonable external legal costs arising from a third-party claim to the extent caused by: (a) your unlawful or infringing content; (b) your breach of the marketing or data-use obligations in these Terms; or (c) your breach of law, negligence or misconduct in supplying food, delivery or other restaurant services. The indemnity covers amounts finally awarded by a court or agreed in a settlement under the procedure below. It does not cover losses caused by our own breach, negligence or misconduct, or fines or penalties that cannot lawfully be recovered from you.
We must notify you promptly of the claim, take reasonable steps to mitigate loss and provide reasonable cooperation at your expense. Delay in notification reduces your responsibility only to the extent it materially prejudices your defence. You may control the defence using suitably qualified advisers, while we may participate at our own expense. Neither party may agree a settlement requiring an admission, payment or continuing obligation from the other without that party's consent, which must not be unreasonably withheld. If you fail to defend after reasonable notice, we may do so and recover reasonable covered costs. There may be no double recovery. The cap on our liability does not cap your payment obligations or this indemnity.
19. Events beyond reasonable control
Neither party is responsible for delay or failure caused by events beyond its reasonable control, provided it takes reasonable steps to limit the effect and resume performance. This does not excuse amounts already due or failures within that party's reasonable control. Each party must notify the other where such an event materially affects its performance.
20. Changes to these Terms
We may update these Terms to reflect changes to the service, law or business arrangements. For a material change affecting an existing subscription, we will give at least 30 days' written notice where practicable and explain the effective date. Changes required urgently for legal or security reasons may take effect sooner, with as much notice as reasonably possible.
If a material change is substantially detrimental to you, you may end the affected service before it takes effect without an early termination charge and receive a refund of prepaid subscription fees for the unused period after termination. Changes will not retrospectively remove rights already accrued. Subscription price changes follow section 6.
21. General and governing law
Notices to Choppr may be sent to [email protected] or our registered office. We may send notices to the account contact details you provide. You must keep those details current.
A failure or delay to enforce a right does not waive it. If a provision is unenforceable, the remainder of the agreement continues so far as legally possible. Neither party may transfer the agreement without the other's consent, except to a successor to substantially all of its relevant business that can perform its obligations and does not materially reduce the other's protection.
The agreement contains the terms agreed for the service and replaces earlier discussions on that subject. Nothing in it excludes liability for fraud or removes mandatory legal rights. A person who is not a party has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999, without limiting any independent statutory rights.
The agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory law requires otherwise.
22. Hardware supply and installation
22.1 Scope and charges
These provisions apply to physical equipment supplied by Choppr for business use, including terminals, tablets, printers, card readers, kiosks, displays, mounts and cabling (Hardware). Your quotation or order identifies the equipment, price and whether it is sold, rented or loaned. Unless expressly included, prices exclude delivery, installation, configuration, cabling, insurance, import charges and VAT where applicable. Additional charges must be disclosed and agreed before they are incurred. Equipment supplied directly by another supplier is governed by that supplier's contract.
22.2 Ownership and care
For sold Hardware, ownership passes only when we receive full payment for that Hardware and its agreed supply charges. Until then, you must keep it identifiable as our property, protect it with reasonable care, maintain appropriate insurance and not sell, pledge or dispose of it. Risk of accidental loss or damage passes on delivery to you or your nominated recipient, or on collection by you or your carrier. If you wrongfully refuse an agreed delivery, risk passes when it is tendered at the agreed place and time.
Loaned or rented Hardware remains ours and must be returned when the relevant arrangement ends or we lawfully terminate it. We will provide return instructions and allow a reasonable return period. You are responsible for agreed return carriage and for loss or damage beyond fair wear and tear. Any charge for missing or damaged equipment must reflect reasonable repair or replacement costs, taking account of its age and condition.
Where payment for sold Hardware remains overdue after written notice and a reasonable opportunity to pay, we may require its return while ownership remains with us. You must cooperate with lawful collection. We may enter premises only with the occupier's lawful permission or other legal authority. Reasonable recovery costs caused by your breach are payable by you; any recovered value must be credited against the relevant debt to prevent double recovery. Recovery rights remain subject to applicable insolvency law.
22.3 Delivery and inspection
Delivery dates are estimates unless we expressly agree a binding date. A delay does not itself entitle you to reject Hardware or cancel the software subscription; this does not remove rights arising from a material breach or mandatory law. We will notify you of material delays we become aware of.
You must provide a suitable, staffed delivery address and comply with the agreed delivery arrangements. Reasonable additional storage or redelivery costs caused by your failure to accept delivery may be charged after being explained to you.
Inspect Hardware on arrival, record visible transit damage with the carrier where possible, and report damage, missing items or incorrect equipment within seven business days. A defect that could not reasonably be identified on delivery must be reported promptly after discovery. Late notification does not automatically remove a valid claim, but we are not responsible for additional loss caused by an unreasonable reporting delay.
22.4 Cancellations and discretionary returns
Hardware orders may be cancelled only with our written agreement, except where you have a legal or contractual right to cancel. We may require payment of reasonable, unavoidable costs already incurred for your order, including authorised supplier cancellation charges, less costs saved or amounts recovered. We will explain those costs and credit sums already paid.
For a change-of-mind return, contact us within 30 days of delivery. Acceptance is at our discretion and must be confirmed before dispatch. Special-order or customised items and equipment that has been unboxed and used are not eligible for discretionary returns. Accepted items must be returned complete, securely packed and in the condition we agreed. Any handling charge will be disclosed for your acceptance before the return; return shipping is your responsibility. These restrictions do not apply to valid defect, misdescription or other claims under the agreement or applicable law.
22.5 Six-month Hardware warranty
We warrant that Hardware we supply will materially match its agreed description and be free from material defects in design, materials and workmanship on delivery and for six months afterwards. Notify us promptly when a defect is discovered, provide reasonable diagnostic information, allow us to inspect or test the equipment and, if requested, return it securely with the components needed for assessment. You initially pay return carriage unless we agree otherwise; for a confirmed covered defect we will reimburse reasonable return carriage and pay for delivery of the repaired or replacement item.
For a covered defect, we will choose to repair the Hardware, replace it with equivalent equipment, or refund its purchase price. Repairs or replacements are covered for the remainder of the original warranty period. Any longer manufacturer warranty that can be passed to you will be made available on its applicable terms.
This warranty does not cover a defect to the extent caused by normal wear, accidental or deliberate damage, misuse, unsuitable power or environmental conditions, incorrect installation by you or another party, unauthorised alterations or repairs, failure to follow reasonable instructions, or specifications you required against our advice. Continuing to use equipment after identifying a defect excludes only additional damage caused by that continued use. A cosmetic change required by law does not constitute a defect if agreed functionality is not materially affected.
If assessment shows no covered fault, reasonable diagnostic and shipping charges may apply where disclosed and agreed in advance. We do not promise a loan device during assessment or repair unless expressly included in your plan. We will carry out the chosen remedy within a reasonable time and keep you informed of material delays.
Subject to liabilities and rights that cannot lawfully be excluded, and to the extent permitted by law, repair, replacement or purchase-price refund under this clause is your exclusive remedy for breach of this express Hardware warranty. Other implied quality or fitness terms are excluded only to the extent that exclusion is lawful and reasonable. Nothing excludes our obligations as to title where those obligations cannot lawfully be excluded. Expiry of the six-month express warranty does not by itself extinguish a claim that applicable law preserves. Damages claims remain subject to section 18; the express remedies in this clause are not reduced by its monetary cap.
22.6 Use and maintenance
You are responsible for routine care, consumables and maintenance unless expressly included in a support arrangement. On loaned, rented or managed Hardware, you must not install unapproved software or change its managed configuration without our consent. On purchased Hardware, incompatible alterations or software may affect support and warranty coverage only to the extent they cause the relevant issue. Any discounted price conditional on an agreed use restriction or minimum service term, and any repayment triggered by its breach, must be expressly stated in your order before purchase.
22.7 Installation
If we arrange installation, you must provide safe access, suitable power and connectivity, a prepared installation area, accurate site information and any permissions required from landlords or other parties. The agreed scope does not include building works, electrical work, network upgrades or additional cabling unless expressly stated.
Our technician may stop work if the site is unsafe or not ready. Reasonable wasted-visit, rebooking or additional-work charges caused by your failure to meet the disclosed preparation requirements may apply, provided their basis was agreed beforehand. Further work requires your authorisation. We will perform our installation services with reasonable care and skill. Liability for damage caused by our installation is governed by section 18, including its mandatory exceptions.
22.8 Overseas deliveries
Where an overseas delivery is agreed, you are responsible for applicable import duties, customs clearance and local permissions identified as your responsibility in the order. Tell us the intended country of use before ordering so that suitability can be assessed. These responsibilities do not excuse inaccurate descriptions or assurances we expressly give about the Hardware.
Schedule 1 — Data Processing
1. Application and roles
This Schedule forms part of the agreement between the Customer identified in the subscription or order and I-GALAXY MEDIA LIMITED, trading as Choppr. It applies whenever Choppr processes personal data on the Customer's behalf to provide the selected services (Restaurant Data). For that processing, the Customer is the controller and Choppr is the processor. These terms have the meanings given in the UK GDPR.
Data Protection Law means applicable laws governing personal data, including the UK GDPR and Data Protection Act 2018, as amended, and applicable electronic communications privacy rules. Each party must comply with the obligations applying to it. Where the Customer is itself a processor, it confirms that it has the controller's authority to instruct Choppr and enter into this Schedule; Choppr acts as a sub-processor for that processing.
This Schedule does not cover information Choppr processes as an independent controller for its own account administration, billing or legal obligations, as explained in its Privacy Policy. Neither party may use this distinction to repurpose Restaurant Data without a lawful basis and appropriate transparency.
2. Processing description
The subject matter is the operation, hosting, support and security of the Customer's selected restaurant software and communications features. Processing continues for the service period and the limited exit and deletion periods in section 17 of the Terms, or for a shorter period instructed by the Customer where compatible with its continuing services.
| Matter | Scope, limited to the features selected and information supplied |
|---|---|
| Purposes | Managing orders, deliveries, reservations, customer accounts, loyalty, authorised communications, staff access, restaurant operations, support and service security. |
| Activities | Receiving, organising, storing, retrieving, displaying, updating, transmitting, exporting, restricting and deleting data; generating communications and operational reports on the Customer's instructions. |
| People concerned | Restaurant customers, callers, booking contacts, delivery recipients, staff, authorised users and other individuals whose information the Customer lawfully provides for these services. |
| Ordinary data | Names, contact details, addresses, account identifiers, order and booking details, loyalty activity, communication preferences and permission records, messages, staff roles, transaction references and status, device and access logs, and relevant support correspondence. |
| Sensitive information | Allergy or dietary information may reveal health or religious information. Such information must be limited to what is necessary for the requested restaurant service and processed only where the Customer has identified an applicable lawful basis and special-category condition. The service is not intended for criminal-offence records or unrelated sensitive information. |
The Customer determines the lawful purposes and instructions, provides required notices, ensures necessary permissions and lawful bases, answers individuals' requests with our assistance, and limits the information submitted. Full payment-card numbers and security codes must be submitted through the payment provider's designated payment interface, not placed in restaurant notes or support messages.
3. Instructions and confidentiality
Choppr will process Restaurant Data only on documented instructions, including these Terms, selected feature settings and authorised support requests, including for international transfers. If UK law requires different processing, we will inform the Customer before processing unless that law prohibits notice on important public-interest grounds.
We will immediately inform the Customer if, in our opinion, an instruction infringes Data Protection Law and may pause the affected processing while the issue is resolved. Restaurant Data must not be used by Choppr or its sub-processors for their own marketing or general-purpose AI model training under this Schedule.
Access will be limited to authorised people who need it to perform their duties and who are bound by contractual or statutory confidentiality obligations. Those obligations continue after their access ends.
4. Security
Choppr will implement and maintain technical and organisational measures appropriate to the risks, taking account of the nature of the data, available technology and implementation costs, as required by Article 32 UK GDPR. These will include access restrictions and privileged-access protection; measures to separate restaurant data; secure transmission and appropriate protection of stored data and backups; patch and vulnerability management; access logging; incident handling; recovery arrangements; and regular assessment of security effectiveness.
Before processing begins, we will supply a written description of the measures applicable to the selected service and make material updates available. We may improve or replace measures without materially reducing overall protection. The Customer must secure its own devices, credentials, permissions and integrations. That obligation does not remove Choppr's own security responsibilities.
5. Other providers and processing locations
We use service providers where needed to deliver the selected features, including cloud hosting, database storage, backup, security, and email or SMS delivery providers. The Customer gives general written authorisation for sub-processors identified in a separate register supplied during onboarding and before they receive Restaurant Data. The current register will be made available to the Customer through its admin area or supplied directly; it does not need to form part of the public version of these Terms. The register must identify each legal entity, its service, relevant data and processing or access locations, and any applicable international-transfer mechanism. A feature must not send Restaurant Data to an undisclosed provider.
We will give at least 30 days' written notice before adding or replacing a sub-processor, allowing the Customer to object on reasonable data-protection grounds before the change takes effect. A shorter period requires the Customer's specific written agreement. We will work to resolve an objection through reasonable alternative arrangements. If it cannot be resolved, the Customer may end the affected service before the proposed provider processes its data, without an early termination charge, and receive a refund of prepaid fees for the unused affected service.
We will assess the sub-processor's ability to protect the data and bind it by a written contract imposing equivalent applicable data-protection obligations. Choppr remains responsible to the Customer for the sub-processor's performance of those obligations as required by Article 28(4).
6. International transfers
Restaurant Data may be transferred or made accessible outside the UK only on documented instructions and in compliance with applicable transfer requirements. Where necessary, we will put in place an applicable adequacy arrangement or appropriate safeguards, such as the UK International Data Transfer Agreement or UK Addendum, complete required assessments and implement supplementary protection. This Schedule alone is not an international-transfer safeguard. Details must be supplied with the provider and location information before the transfer begins. Mandatory terms of any applicable transfer instrument prevail over conflicting provisions of these Terms.
7. Personal data breaches
We will notify the Customer without undue delay after becoming aware of a personal data breach affecting Restaurant Data. We will provide available information about its nature, affected people and records, likely consequences, measures taken or proposed, and a contact for further information. Information may be supplied in stages without undue further delay; notification will not wait for completion of an investigation.
We will investigate, contain and address the breach and cooperate with the Customer in meeting its notification obligations. The Customer controls notifications to its customers and the regulator unless law requires Choppr to notify independently. Notification is not, by itself, an admission of liability.
8. Assistance and compliance information
Taking account of the nature of processing, we will provide appropriate technical and organisational assistance with individuals' rights requests. We will promptly forward requests concerning Restaurant Data and will not independently answer them except on instructions or as required by law.
Taking account of the information available to us, we will assist with security obligations, breach notifications, data-protection impact assessments and required prior consultation with the regulator.
We will provide information necessary to demonstrate compliance with Article 28 and allow and contribute to audits and inspections by the Customer or its appointed independent auditor. Where sufficient, existing documentation or independent reports may be used first. Audits should use reasonable notice, confidentiality protections and arrangements that avoid unnecessary disruption and protect other customers' data. These arrangements must not prevent an audit required by law, a regulator or a credible incident requiring urgent investigation.
Routine compliance information is included in the service. For substantial additional assistance or customer-requested audits, reasonable charges may be agreed in advance, except where the work is needed because of Choppr's breach. A fee disagreement must not delay legally required assistance or obstruct statutory rights.
9. Return and deletion
At the Customer's choice, Choppr will return or delete Restaurant Data when the relevant services end and delete remaining copies unless UK law requires retention. Section 17 provides the default 30-day export-request window and subsequent deletion process; the Customer may instruct earlier return or deletion. Data retained for the exit process must not be used for ordinary restaurant operations or new purposes.
Backups will remain beyond ordinary use pending deletion and expire or be removed within 14 days after live-system deletion. Deletion instructions must be reapplied if a backup is restored. These requirements apply through the sub-processor chain. Legally required retention must be limited to the data and period required, with continued protection. On request, Choppr will confirm completion of deletion, identifying any legally required exceptions.
10. Continuing obligations and responsibility
This Schedule continues for as long as Choppr or its sub-processors retain Restaurant Data. Contractual claims between the parties remain subject to section 18 to the extent permitted by law. Nothing in that section or this Schedule removes either party's direct statutory responsibilities, individuals' rights, regulatory powers or mandatory rights under an applicable transfer instrument.
Data-protection instructions and enquiries may be sent to [email protected]. The Customer must keep its nominated privacy or account contact details current so that breach and sub-processor notices can reach the appropriate person.
